DRAFT — not yet in force. Supersedes the placeholder terms dated November 2025 on publication.

This plain-language summary is for convenience only and does not modify the numbered terms.

  • You must be 18 or older to use Geneverything.
  • You must accept these Terms before you generate anything.
  • You are responsible for what you make — the prompts, the uploads, and the outputs, and how you use them.
  • You keep ownership of your outputs, subject to the terms of the underlying AI models — and some models (notably certain FLUX variants) carry restrictions.
  • You must have rights to everything you upload — photos of people, voice samples, reference tracks, lyrics.
  • Geneverything is a tool provider, not a publisher. Automated filters can check the prompts you send to generate something, and no person reviews your content in advance.
  • Certain uses are absolutely prohibited — child sexual abuse material, non-consensual intimate imagery, and deceptive deepfakes are the top of that list. See the Acceptable Use Policy.
  • We can suspend or terminate accounts that violate these Terms, and we report child sexual abuse material to Cybertip.ca as Canadian law requires.

1. Acceptance, Eligibility, and Age

1.1 Agreement to these Terms

By creating an account, clicking "I agree," or accessing or using Geneverything (the "Service," "Geneverything"), you ("you," "User") agree to be bound by these Terms of Service (the "Terms"), the Acceptable Use Policy ("AUP"), and the Privacy Policy, each of which is incorporated by reference. The Service is operated by Bite Design & Technology Inc. (corporation number 1822394-7), a corporation incorporated under the Canada Business Corporations Act ("we," "us"), and these Terms are an agreement between you and that company. If you do not agree, do not use the Service.

1.2 Acceptance is required before generation

You must affirmatively accept these Terms before you submit any prompt, upload any input, or generate any output. The Service will not process a generation request for an account that has not recorded acceptance of the current version of these Terms and an acknowledgment of your responsibility for the content you generate (Section 5). We record the version accepted, the timestamp, your originating IP address, and your browser user-agent string, because that record is the evidence that you accepted and we have to be able to produce it. For users in the EU/EEA and the UK, our lawful basis for keeping it is Article 6(1)(c) (compliance with a legal obligation, including the Article 7(1) duty to demonstrate consent where consent is the basis relied on) together with Article 6(1)(f) (our legitimate interest in being able to prove the terms of a contract we are party to). These records are append-only: they cannot be edited or deleted, by you or by us.

1.3 Age requirement

You must be at least eighteen (18) years old to create an account and use the Service. There is no tier for users under eighteen. We collect a self-attested date of birth during onboarding and refuse to open an account for anyone below that age, and if we learn that an account holder is under eighteen we will close the account. If we ever open the Service to younger users, that would require a separate children's privacy notice and verifiable parental consent, and these Terms would be amended before it happened.

1.4 Authority

If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to both you and the organization.

1.5 Sanctions and geographic restrictions

You may not use the Service if you are located in, or are a national of, a country or region subject to comprehensive sanctions under Canadian or United States law, or if you are on a restricted-party list maintained by either country. See Section 15.4.

2. Accounts and Account Responsibility

2.1 Registration

You can create an account with Google sign-in, or with an email address and a password that you choose. Where we have enabled it, you can also sign in with a one-time link sent to your email. If you set a password, we store it only as a hash and never in a form we can read. You agree to give accurate information and to keep it current.

2.2 You are responsible for your account

You are responsible for:

  • safeguarding your credentials and any tokens or API keys issued to you;
  • all activity that occurs under your account, whether or not authorized by you; and
  • notifying us immediately at security@geneverything.com of any unauthorized use or suspected breach.

We are not liable for loss arising from unauthorized use of your account that results from your failure to safeguard your credentials.

2.3 One human per account; no sharing of restricted access

You may not share account access in a way that circumvents plan limits, credit pricing, or rate limits, and you may not create accounts by automated means.

3. Content: Ownership, Inputs, Outputs, and Licenses

"Input" means anything you submit to the Service (prompts, photos, voice samples, reference tracks, lyrics, sketches, masks, and other reference material). "Output" means anything the Service generates in response. "User Content" means your Inputs and Outputs together.

3.1 Your ownership of Outputs

As between you and Geneverything, and subject to Section 3.2 and your compliance with these Terms, we assign to you all right, title, and interest we may have in the Outputs you generate, to the fullest extent permitted by applicable law. We do not claim ownership of your Inputs or Outputs.

3.2 Outputs are subject to the underlying model providers' terms

Geneverything is a routing layer. Your generation runs on third-party models hosted by providers including fal.ai and Replicate, and on individual models with their own licenses. Your rights in an Output are subject to, and no greater than, the license granted by the model that produced it. You are responsible for knowing and complying with those licenses. Notable examples include FLUX.1 [dev] and related Black Forest Labs models (non-commercial model weights, with an evolving Output-use carve-out and a no-competitive-training restriction) and certain music and voice models (which may restrict commercial use of Outputs to paid tiers, or restrict voice cloning to your own voice). You bear the risk of non-compliance with an upstream license, and your indemnity in Section 5.2 extends to it. If a model provider changes its terms, revokes access, or removes a model, we may withdraw the corresponding feature without liability to you.

3.3 License you grant to Geneverything

You grant Geneverything a limited, worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, cache, back up, and create technical derivatives of your User Content solely as necessary to: (a) operate, secure, and provide the Service to you (including transmitting your Inputs to the model provider you select); (b) enforce these Terms and the AUP and comply with law; and (c) for enterprise/team accounts only, display your Outputs to other authorized members of your organization or workspace. This license ends when you delete the relevant User Content or close your account, except (i) for content retained in backups for a commercially reasonable period, and (ii) as required to comply with law or resolve disputes. This license does not include a right to train Geneverything's own foundation models on your User Content — see Section 3.6.

3.4 Your representations and warranties about Inputs

You represent and warrant that, for every Input you submit, you own it or have all rights, licenses, consents, and permissions necessary to submit it and to generate Outputs from it, including:

  • for photographs or likenesses of any identifiable person, the rights and consents necessary to upload that image and to create derivative or synthetic media from it;
  • for voice samples, the right to clone or synthesize that voice — and, where the voice is not your own, documented consent from the person whose voice it is;
  • for reference tracks, lyrics, and musical material, the rights necessary to use them; and
  • for any third-party intellectual property (characters, trademarks, copyrighted works), the rights to use it.

3.5 Outputs are provided AS-IS with no warranty of non-infringement

AI Outputs may be inaccurate, offensive, unlawful in your use, or similar to existing works, and they may infringe third-party rights. Geneverything makes no warranty that any Output is original, non-infringing, or fit for your intended use. Multiple users may receive similar Outputs from similar Inputs, and Outputs may not be eligible for copyright protection where they lack sufficient human authorship. You are responsible for reviewing and clearing Outputs before you publish, distribute, or commercialize them.

3.6 No training on your content

Geneverything does not use your Inputs or Outputs to train, fine-tune, or develop AI foundation models. There is no setting that changes this and no way to opt in, because we have not built one; if we ever wanted to, it would take a change to these Terms and a consent flow that does not exist today. The one exception is a Muse: when you train one, the photos or clips you choose are sent to a model provider to train a private model that only your account can use. We may use aggregated, de-identified operational data (e.g., error rates, latency, feature usage) to improve and secure the Service. When you select a third-party model, your Inputs are transmitted to that provider, and that provider's terms govern whether it may retain or train on your Inputs — we contract for no-training or limited-retention terms where available, but we do not control their practices.

3.7 Acknowledgment of unsettled law

You acknowledge that the law governing AI training data, output ownership, and copyright is unsettled and actively litigated (including the RIAA's cases against Suno and Udio, with a pivotal fair-use ruling expected in summer 2026). Nothing in these Terms is a representation about how that law will resolve, and your indemnity in Section 5.2 applies regardless of its outcome.

4. Acceptable Use

Your use of the Service is governed by the Acceptable Use Policy, which is incorporated into these Terms. Without limiting the AUP, you agree not to use the Service to create, upload, or distribute:

  1. Child sexual abuse material ("CSAM") — including AI-generated or synthetic CSAM, and any sexualization of minors. Absolutely prohibited, zero tolerance, reported to Cybertip.ca.
  2. Non-consensual intimate or sexual imagery of any real person, including "nudify" and undress applications, and sexual deepfakes.
  3. Deceptive deepfakes — synthetic media of a real person created without consent and used to deceive, defraud, harass, or damage reputation, or synthetic media of political figures designed to mislead voters.
  4. Defamation, harassment, threats, or content that incites violence or hatred against people based on protected characteristics.
  5. Impersonation for fraud — passing off Outputs as authentic to deceive, including voice clones used for fraud or social engineering.
  6. Intellectual-property infringement — copyrighted characters or works, or trademarks, that you do not have the right to use.
  7. CBRN and weapons content — instructions or designs for chemical, biological, radiological, nuclear, or high-yield explosive weapons.
  8. Election interference — false information about voting procedures, candidates, or election integrity.
  9. Anything illegal under the laws that apply to you.

We may add, remove, or refine prohibited categories as the law and our risk posture evolve.

5. User Responsibility for Generations

This section is the core of the bargain. Read it carefully.

5.1 You are solely responsible for your content

You are solely responsible for your Inputs, your prompts, your Outputs, and every use you make of them. You decide what to generate and what to do with the result. Geneverything provides a tool; it does not choose, endorse, review, or publish your content. You acknowledge and agree that:

  • you are responsible for ensuring your Inputs and Outputs comply with all applicable laws and third-party rights;
  • you will not use any Output in a way that violates any law, the AUP, or the rights of any person; and
  • Geneverything is a provider of tools, not a publisher of your content.

We do screen. Automated filters can run on the prompt you submit to generate an image, a video, a piece of music, a sound effect or a scene, before that prompt reaches a model, and refuse the ones that match the prohibited categories in the AUP. Uploaded reference images and video clips, and other images a generation takes as input, can be checked by automated moderation. When a check flags one, it is refused or kept marked as flagged, and it can be blocked from further use. We can also remove content and revoke its share links after the fact. Speech-to-text is not screened this way, because what it transcribes is a recording rather than a prompt. No person reads your prompts or reviews your Outputs before they are generated, and we do not otherwise monitor what you create. Running those filters is how we enforce the AUP. It does not make us the author, publisher, or endorser of anything you generate, it is not a review of your content, it is not a guarantee that everything prohibited is caught, and it is not a representation that whatever passes the filters is lawful or permitted. Responsibility for what you generate stays with you.

5.2 Indemnification

To the fullest extent permitted by law, you will defend, indemnify, and hold harmless Geneverything and its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your Inputs, Outputs, or other User Content; (b) your use or misuse of the Service; (c) your violation of these Terms, the AUP, or any applicable law; (d) your violation of any right of any third party, including intellectual-property, privacy, publicity, and data-protection rights; and (e) your breach of any model provider's terms (Section 3.2).

5.3 We may, but are not obligated to, moderate

Nothing in this Section limits our right to remove content, suspend accounts, or take the enforcement actions in Section 7. Our right to act does not create a duty to monitor, and our failure to act in any instance does not waive our rights.

6. Copyright, DMCA, and Takedowns

Geneverything respects the intellectual-property rights of others and expects users to do the same. We respond to notices of alleged infringement under the U.S. Digital Millennium Copyright Act ("DMCA") and terminate repeat infringers. Notices of claimed infringement must be sent to our Designated Agent at dmca@geneverything.com. A valid notice must include the elements required by 17 U.S.C. § 512(c)(3): a signature of the rights holder or authorized agent; identification of the copyrighted work; identification of the material claimed to be infringing and information sufficient to locate it; your contact information; a good-faith-belief statement; and a statement under penalty of perjury that the information is accurate and that you are authorized to act. We operate from Canada and offer the DMCA process because the Service is used in the United States and hosted on United States infrastructure; nothing in it limits the rights you have under the Copyright Act (Canada), including the notice-and-notice regime in sections 41.25 to 41.27, or under the copyright law where you are.

If your content was removed and you believe it was removed in error, you may submit a counter-notice with the elements required by 17 U.S.C. § 512(g). If the original complainant does not file suit within 10–14 business days, we may restore the content. We will, in appropriate circumstances and in our discretion, disable or terminate the accounts of repeat infringers.

The Designated Agent must be registered with the U.S. Copyright Office DMCA Directory before these Terms go live.

7. Trust & Safety; Enforcement

We may, at our discretion and without prior notice, and to the extent permitted by law: (a) suspend or terminate accounts that violate these Terms or the AUP; (b) remove, disable, or restrict access to any content; (c) refuse or halt any generation request; (d) preserve account records, Inputs, and Outputs where we believe in good faith that preservation is necessary to comply with law, respond to legal process, protect the safety of any person, or enforce these Terms; and (e) report activity to law enforcement.

We report apparent child sexual abuse material to the Canadian Centre for Child Protection through Cybertip.ca, as An Act respecting the mandatory reporting of Internet child pornography by persons who provide an Internet service (S.C. 2011, c. 4) requires of us, and we preserve related material for the period that Act requires. Where a report also engages United States law because of where the content was stored or transmitted, we report to the National Center for Missing & Exploited Children (NCMEC) as well. Enforcement generally follows a graduated model (warning → temporary suspension → termination), but we reserve the right to take immediate terminal action for severe violations (e.g., CSAM, non-consensual intimate imagery, credible threats).

8. Privacy

Your use of the Service is subject to our Privacy Policy, which describes what we collect (account, generation, billing, and operational-telemetry data), how we use it (to deliver the Service, route your Inputs to the model provider you choose, bill your account, secure the platform, and — in aggregated/de-identified form — improve the Service), retention, your rights (access, deletion, correction, portability), and our sub-processors, which the Privacy Policy lists in full: the infrastructure that handles every request (Vercel for hosting, Supabase for the database, Cloudflare R2 for storage, Upstash for job delivery, Stripe for payments, Google for sign-in) and the model providers, which receive an Input when you choose a model they run, when a job you started is passed to them as a fallback, or when a feature uses them to check or process what you give it, as the Privacy Policy describes. We do not train AI foundation models on your User Content. To the extent of any conflict between the Privacy Policy and these Terms on a data-protection matter, the Privacy Policy controls.

9. Payments, Credits, and Refunds

The Service operates primarily on a prepaid credits model. New accounts may receive promotional starter credits, which have no cash value. Generations consume credits at rates we publish and may change. Payments are processed by Stripe; we do not store full card numbers.

Plans are subscriptions. A monthly plan renews every month and an annual plan every year, until you cancel, at the price shown when you subscribed unless we give you notice of a change under this Section. We show the price, the billing period and how to cancel before you pay. You can cancel online at any time in Settings; cancelling stops the next renewal, your plan stays active until the end of the period you paid for, and your credits stay on your balance. Where the law requires it, we remind you before an annual plan renews. There are no automatic credit top-ups.

Credits do not expire. Purchased credits, promotional credits and the credits included with a plan all stay on your balance until you spend them, on every plan. Nothing in the Service sweeps or expires a balance, and we will not begin doing so without giving you the notice Section 13 requires for a material change.

A generation that fails is refunded. If a job errors, returns nothing usable, or you cancel it before it starts rendering, the credits it debited go back to your balance, normally automatically and without you having to ask; a failed part of a larger job, such as one scene of an Auto-Video run, may come back only when that job settles. If a refund for a failed generation has not reached your balance, tell us through the Feedback form linked from our Support page, choosing Billing as the category, and we will return it. Credits spent on a generation that completed are not refundable: we buy that compute from a third party the moment you press generate, and it cannot be returned.

Unspent credits are refundable for fourteen (14) days. Within fourteen days of a purchase, ask through the Feedback form linked from our Support page, choosing Billing, and we will refund the unspent portion of that purchase to the original payment method. After fourteen days, unspent credits simply stay on your balance, which does not expire. This is a policy we offer in addition to your statutory rights, and it does not limit them — including the EU and UK rights of withdrawal, and the cancellation and refund rights given to you by the consumer-protection law of your province, state or country, which apply whatever this Section says. If you are a consumer in the EU, EEA or UK, you ask us at checkout to add your credits or start your plan straight away, and you confirm that you lose your right of withdrawal once they are added. Our 14-day refund of unspent credits still applies.

We may change prices and credit rates prospectively, with reasonable advance notice for recurring charges. A price change never applies to credits you have already bought. Prices exclude taxes unless stated.

10. Disclaimers, Warranties, and Limitation of Liability

THE SERVICE, AND ALL INPUTS AND OUTPUTS, ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, accuracy, and non-infringement, to the maximum extent permitted by law. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any Output will be accurate, original, non-infringing, or suitable for your use.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Geneverything AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS, arising out of or relating to the Service or these Terms, even if advised of the possibility. Geneverything's total aggregate liability will not exceed the greater of (a) the total amounts you paid to Geneverything in the twelve (12) months before the event giving rise to the claim, or (b) USD $100.

Some of these limits do not apply to some people, and where they do not, they do not. Nothing in these Terms limits or excludes liability that cannot be limited or excluded by the law that applies to you — including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for gross negligence or an intentional fault where your law says those cannot be disclaimed, and under consumer-protection statutes that bind us whatever this agreement says. If a court finds any limitation in this Section unenforceable against you, that limitation is severed as to you and the rest of this Section continues to apply.

11. Dispute Resolution — Governing Law and Forum

These Terms are governed by the laws of the Province of New Brunswick and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. Before either of us files anything, you agree to try to resolve the dispute informally: send written notice to legal@geneverything.com, and we will both negotiate in good faith for thirty (30) days. Most disputes end here, and it costs neither of us anything to try.

If that does not resolve it, disputes may be brought in the courts of New Brunswick, and both of us submit to their jurisdiction on a non-exclusive basis. Non-exclusive means you are not prevented from bringing a claim somewhere else that has jurisdiction over it, including the courts where you live and your local small-claims court.

There is no mandatory arbitration clause in these Terms, and no class-action waiver. We do not require you to give up the right to go to court, to bring a claim as part of a class or collective proceeding, or to be heard in your own jurisdiction.

Nothing in this Section limits either party's ability to seek injunctive relief for intellectual-property misuse or unauthorized access to the Service. If you are a consumer, the mandatory consumer-protection and forum rules where you live apply on top of this Section and override anything in these Terms that conflicts with them. That includes, without limitation, the Consumer Protection Act, 2002 (Ontario), the Consumer Protection Act (Quebec), equivalent provincial legislation elsewhere in Canada, and mandatory consumer law in the EU, EEA, and UK.

12. Termination and Data

You may stop using the Service and close your account at any time. Before closing, you may export your data using our self-service export tool. Closing your account ends the balance on it: credits are not cash, and there is no way to transfer them to another account or cash them out, so if you have a refundable purchase under Section 9 ask for the refund before you close. We may suspend or terminate your access for a violation of these Terms or the AUP, to comply with law, or to protect the Service or other users. On termination, your license to use the Service ends; we may delete your User Content after a commercially reasonable period, subject to legal-hold and safety-preservation obligations; and Sections that by their nature should survive (including 3.2, 3.4–3.7, 5, 6, 8, 10, 11, and 13–16) survive.

13. Modifications to these Terms

We may modify these Terms. For material changes, we will provide notice (e.g., by email, in-product notice, or a full-screen acceptance prompt) at least thirty (30) days before they take effect, except where a shorter period is required for legal or safety reasons. Material changes require you to re-accept before continued generation (tied to the Terms version). For non-material changes, continued use after the updated effective date constitutes acceptance. We will keep prior versions available on request.

15. International Provisions (PIPEDA / GDPR / UK GDPR / CCPA rider)

15.1 Canada (PIPEDA and provincial privacy law)

Bite Design & Technology Inc. is a Canadian corporation, so our handling of personal information is subject to the Personal Information Protection and Electronic Documents Act (PIPEDA) and, where it applies to you, to provincial privacy legislation including Quebec's Law 25. You may ask for access to the personal information we hold about you and ask us to correct it, and you may complain to the Office of the Privacy Commissioner of Canada if you are not satisfied with how we have handled a request. The Privacy Policy sets out how to do both.

15.2 EU/EEA and UK (GDPR / UK GDPR)

If you are in the EU/EEA or UK, our processing of your personal data is described in the Privacy Policy, which addresses lawful bases, data-subject rights (access, rectification, erasure, restriction, portability, objection), international-transfer safeguards, and your right to lodge a complaint with your supervisory authority. Canada holds an adequacy decision from the European Commission for commercial organizations subject to PIPEDA, and the UK recognizes the same, so transferring your data to us in Canada does not itself require Standard Contractual Clauses. Onward transfers from Canada to countries without adequacy are covered in Section 5 of the Privacy Policy. Mandatory consumer-protection and data-protection rights in your jurisdiction override any conflicting term in these Terms.

15.3 California (CCPA/CPRA)

California residents have rights to know, delete, correct, opt out of "sale"/"sharing," and limit the use of sensitive personal information, as described in the Privacy Policy. Geneverything does not sell personal information for money; to the extent any data sharing constitutes "sharing" under the CPRA, we honor opt-out requests.

15.4 Other jurisdictions, export controls, and sanctions

The Service is operated from Canada and runs on infrastructure in the United States and elsewhere. We make no representation that the Service is appropriate or available for use in every location, and you are responsible for complying with local law where you are. You represent that you are not located in, and are not a national or resident of, any country subject to comprehensive sanctions under Canada's Special Economic Measures Act or the United Nations Act, or under comprehensive United States sanctions; and that you are not a person listed under either country's restricted-party regimes. You will not use or export the Service in violation of Canadian or U.S. export-control or sanctions law.

16. General

These Terms, the AUP, and the Privacy Policy are the entire agreement between you and Geneverything regarding the Service and supersede prior agreements, including the November 2025 placeholder terms. If any provision is held unenforceable, it will be limited or severed to the minimum extent necessary, and the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets. Nothing here creates a partnership, agency, or employment relationship. Headings and the summary are for convenience only.

MUST BE REVIEWED BY LICENSED COUNSEL BEFORE PRODUCTION USE. These Terms were drafted in-house and the author is not a licensed attorney, so this is not legal advice. The decisions this document used to leave open — the governing law and forum, the dispute posture, the liability cap, the refund and credit-expiry policy, and the notice period for changes — have been made and are written above rather than left to a template. What has not happened yet is review: a qualified lawyer needs to read the finished document before it goes into force, and this note stays here until one has.
